Terms and Conditions (“Terms”)

These Terms form a legally binding agreement between CurricuLLM (“we“, “our“, “us“) and any individual or organisation that accesses or uses the CurricuLLM platform, website, application programming interfaces (APIs), mobile apps, or any related services (collectively, the “Service“). By creating an account, accessing, or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
1. Acceptance of Terms
1.1 You confirm you are at least 18 years old (or the legal age of majority in your jurisdiction) or that you acknowledge consent has been provided as a result of receiving an account from an authorised school representative to use the Service.
1.2 If you use the Service on behalf of a school, employer, or other entity, you represent that you have authority to bind that entity to these Terms and the term “you” will also refer to that entity.
2. Definitions
Account: The user profile created to access the Service.
Content: All text, data, lesson plans, prompts, code, files, audio, images, video, or other materials generated by or submitted to the Service.
Educator: A teacher, school staff member, or other authorised adult using the Service for instructional purposes.
Student: A learner provided an account by an Educator.
Subscription: A paid or free plan that allows access to certain features or usage limits of the Service.
3. Accounts and Eligibility
3.1 You must provide accurate, complete, and current information when you create an Account.
3.2 You are responsible for all activity that occurs under your Account and must keep login credentials secure. Notify us immediately of any unauthorised use.
4. Licence and Use Rights
4.1 Subject to these Terms, we grant you a limited, revocable, non‑exclusive, non‑transferable licence to access and use the Service for educational or internal organisational purposes.
4.2 You may display, download, and print AI‑generated Content for classroom use, generated content remains your property.
4.3 Except as expressly permitted, you must not:
Copy, reproduce, republish, or redistribute any part of the Service;
Reverse‑engineer, decompile, or attempt to extract source code;
Use the Service to develop competing products or services;
Use automated means (bots, scrapers) to access the Service;
Remove or alter any copyright, trademark, or proprietary notices.
5. Subscriptions, Fees, and Free Tier
Free Tier. We offer a free tier with usage limits that may change at any time. We may throttle or suspend excessive usage to maintain Service quality.
Paid Plans. Paid Subscriptions renew automatically each billing cycle unless cancelled. Prices exclude taxes (where applicable) and are charged in Australian dollars unless otherwise stated.
Upgrades / Downgrades. You may change plans at any time. Adjustments will apply pro rata for the remainder of the billing period.
Refunds. Except as required by Australian Consumer Law, all fees are non‑refundable.
6. User Content and Data Ownership
6.1 You retain ownership of Content you submit to the Service. You grant us a worldwide, non‑exclusive, royalty‑free licence to host, process, and display your Content solely to provide and improve the Service.
6.2 We may create anonymised, aggregated data from your Content and usage (“Aggregated Data”) for analytics, research, and product improvement. Aggregated Data will not identify you or your Students.
6.3 You are responsible for obtaining any necessary parental, guardian, or school consents required to submit personal information of Students, in compliance with the Privacy Act 1988 (Cth), GDPR (if applicable), and any other relevant law. We have provided an appropriate privacy notice you may choose to use.
7. Privacy
7.1 Our collection and use of personal information is governed by our Privacy Policy, which forms part of these Terms. You agree to the way we handle data as described there.
8. Acceptable Use
8.1 You must not use the Service to:
Violate any law or regulation, including child protection and data‑privacy laws;
Publish or transmit any Content that is defamatory, obscene, hateful, or otherwise harmful;
Attempt to probe, scan, or test the vulnerability of any system or network;
Upload viruses or malicious code;
Harass, threaten, or harm another person.
We may suspend or terminate Accounts for violations.
9. Intellectual Property
9.1 All intellectual property rights in the Service and its underlying models, software, and branding are owned by us or our licensors. These Terms do not grant you any ownership interest.
9.2 You may use the CurricuLLM name and logos solely to refer to the Service and only with our prior written permission.
10. Curriculum Alignment Disclaimer
10.1 AI‑generated Content are based on publicly available curriculum documentation and proprietary mapping. We strive for accuracy but do not guarantee that generated Content fully aligns with any jurisdiction’s curriculum requirements. Educators must review all Content before classroom use.
11. Warranties and Disclaimers
11.1 The Service is provided “as is” and “as available.” To the maximum extent permitted by law, we make no warranties, express or implied, including merchantability, fitness for a particular purpose, or non‑infringement.
11.2 We do not warrant that the Service will be uninterrupted, error‑free, or that any Content is accurate or reliable. You rely on the Service at your own risk.
12. Limitation of Liability
12.1 To the fullest extent permitted by law, neither we nor our affiliates will be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenues, data, goodwill, or other intangible losses, arising out of or related to the Service.
12.2 Our total liability for any claim arising out of or relating to the Service is limited to the greater of (a) AUD 100, or (b) the amount you paid us in the 12 months prior to the event giving rise to the claim.
12.3 Nothing in these Terms limits liability that cannot be excluded under Australian Consumer Law.
13. Indemnity
13.1 You agree to indemnify and hold us, our directors, employees, and agents harmless from any claims, damages, or expenses (including legal fees) arising from your use of the Service, your Content, or your breach of these Terms.
14. Suspension and Termination
14.1 We may suspend or terminate your access to the Service at any time with notice if you breach these Terms or if required by law.
14.2 You may stop using the Service and cancel your Subscription at any time via your account settings.
14.3 Upon termination, your licence to use the Service ends and we may delete your Content after a reasonable retention period, except where retention is required by law.
15. Changes to the Service and Terms
15.1 We may modify the Service or these Terms at any time. We will provide reasonable notice (via email or in‑product notification) of material changes. Continued use after changes become effective constitutes acceptance of the revised Terms.
16. Governing Law and Jurisdiction
16.1 These Terms are governed by the laws of New South Wales, Australia. The courts of New South Wales have exclusive jurisdiction to resolve any dispute arising under these Terms, except where mandatory consumer laws apply.

18. Miscellaneous
Entire Agreement: These Terms constitute the entire agreement between you and us regarding the Service, superseding any prior agreements.
Severability: If any provision is held unenforceable, the remaining provisions remain in effect.
No Waiver: Our failure to enforce any right or provision is not a waiver of that right or provision.
Assignment: You may not assign or transfer your rights under these Terms without our prior written consent. We may assign our rights without restriction.
